Terms of service

English translation provided for convenience. The French version prevails for legal purposes.

These Terms of service (“Terms”) govern access to and use of the Closing Buddy service (the “Service”), published by Closing Buddy (the “Publisher”). By creating an account or using the Service, the User acknowledges having read and accepted the Terms, the Privacy policy and the Legal notice without reservation.

1. Definitions

  • Service: the Closing Buddy platform accessible online, including the web app, APIs and any associated content.
  • User: an adult individual acting in a professional capacity and holding an account on the Service.
  • Customer: the individual or legal entity subscribing to a paid plan.
  • Account: secure personal area, accessible via login and password.
  • Brief: information prepared by the User before a sales call (context, objective, prospect profile, related offer).
  • Live Call: real-time sales assistance session during a call, with audio listening, transcription, objection detection and AI suggestions.
  • Report: post-call summary automatically generated from the Live Call elements.
  • Hour Credit: monthly quota unit consumed during a Live Call.
  • Plan: subscription tier (Free, Starter, Pro, Business, Enterprise).

2. Acceptance and enforceability

The Terms are enforceable against the User as soon as the Account is created. They are electronically archived by the Publisher and accessible at any time from the site footer. The User acknowledges having the skills and means to access the Service and use its features. Failure to accept the Terms prevents the use of the Service.

3. Access to the Service

Access to the Service requires: a verified Account, a modern up-to-date web browser, a stable internet connection and a working microphone for Live Calls. The User is responsible for the confidentiality of their credentials; any action taken from their Account is deemed taken by them. The Publisher may suspend or restrict access to the Service in the event of breach of the Terms, security risk or maintenance operations.

4. Functional description

The Service allows the User to, among other things:

  • Prepare a Brief before a sales call.
  • Run a Live Call with real-time transcription and objection detection.
  • Receive AI suggestions (answers, follow-ups, reframes) during the call.
  • Generate a post-call Report (summary, objections, recommendations).
  • Consult session history and export data.
  • Manage one or several offer profiles depending on the Plan.

The Publisher may evolve the features at any time in order to improve the Service. Substantial changes are notified inside the application.

5. Plans and pricing

The Service is offered under several Plans, whose features and prices are detailed on the Pricing page. As of publication of these Terms:

  • Free: €0/month — limited text simulation, no Live Call.
  • Starter: €49/month — 4 h of Live Call/month, brief, objection detection, simple report, 1 offer profile.
  • Pro: €149/month — 15 h of Live Call/month, personalised brief, advanced detection, multiple answer styles, advanced reports, 3 offer profiles, unlimited text simulation.
  • Business: €199/user/month — 20 h/user/month, team dashboard, shared library, export, priority support.
  • Enterprise: custom quote from €800/month — custom volume, dedicated onboarding, CRM integrations, SSO, enhanced compliance.

Prices are excluding tax; VAT is added according to applicable regulations. The Publisher may update the pricing grid: any change is notified by email at least 30 days before taking effect for existing subscriptions.

6. Billing and payment

Payment is handled in full by Stripe (by credit card or SEPA direct debit where available). The subscription is billed in advance, on the anniversary date of the subscription. Invoices are made available in the User's Account area.

In case of payment failure, the Publisher carries out several automatic reminders. Failing regularisation within 7 days, the Service may be suspended. Definitive termination may occur after an additional 30-day period, without prejudice to the recovery of amounts due. Sums paid for an ongoing period are non-refundable, except where required by law.

7. Withdrawal right

The Service is intended for professionals acting in the course of their business; as such, the withdrawal right of articles L221-18 et seq. of the French Consumer Code does not apply. For Users qualifying as consumers within the meaning of the French Consumer Code, a 14-day withdrawal right applies, unless an express waiver is made when the Service is used immediately (article L221-28 of the French Consumer Code).

8. Renewal and termination

Subscriptions are tacitly renewed, period by period (monthly or annual depending on the chosen Plan). The User can cancel at any time from their Account area. Termination takes effect at the end of the current period, with no refund for the ongoing period. The Publisher may terminate as of right in case of serious breach of the Terms, after a formal notice that remains without effect for 15 days.

9. Quotas and overage

Each Plan includes a monthly volume of Live Call Hour Credits. Hours not consumed during a month do not roll over to the following months. In case of overage, the User may:

  • Buy an extra hour pack from their billing area (5 h, 10 h, 25 h on quote).
  • Upgrade their Plan to benefit from a higher monthly volume.

The Service may interrupt a Live Call when the quota is reached, after a warning shown in the interface. Extra hour packs are consumed in priority after the monthly quota is exhausted and are valid until the end of the current subscription period.

10. Allowed and prohibited uses

The User commits to using the Service in accordance with its purpose, in compliance with applicable laws and third-party rights. The following are notably allowed:

  • Using the Service in the context of professional sales calls.
  • Creating Briefs and Reports related to the User's activity.
  • Exporting and saving the User's own data.

The following are strictly prohibited:

  • Recording, transcribing or analysing a conversation without participants' knowledge.
  • Processing personal data in violation of GDPR or any other applicable regulation.
  • Using the Service for illegal, fraudulent, defamatory, harassing purposes or contrary to public order.
  • Circumventing quotas, technical limits, security mechanisms or access controls of the Service.
  • Extracting, bulk copying, scraping or reverse-engineering the Service.
  • Reselling, sublicensing, making available or commercially exploiting the Service outside its intended use.
  • Testing the security of the Service without the Publisher's prior written authorisation.

11. User obligations

The User commits to:

  • Inform their counterparty that the exchange is assisted, transcribed or analysed by an AI assistant, and to obtain their agreement where required by law.
  • Comply with GDPR and any regulation applicable to their activity.
  • Keep their credentials and passwords confidential.
  • Provide accurate information when creating the Account and keep it up to date.
  • Not disrupt the operation of the Service or degrade the quality of service for other Users.

12. Intellectual property

Closing Buddy remains the sole holder of all intellectual property rights to the Service (code, design, trademarks, logos, editorial content, AI models). No provision of the Terms shall be interpreted as transferring to the User any ownership right over the Service. The User benefits from a personal, non-exclusive and non-transferable right of use, limited to the duration of the subscription.

Content created by the User (Briefs, transcripts, Reports, offer profiles) remains the User's property. The User grants the Publisher a non-exclusive licence, strictly limited to providing and improving the Service, for the duration necessary to perform the contract.

13. Personal data and confidentiality

Processing of personal data is described in the Privacy policy. For Business and Enterprise customers, a Data Processing Agreement (DPA) compliant with GDPR article 28 is available on request at support@closingbuddy.io. The parties commit to keeping confidential the information exchanged in the context of using the Service.

14. Service availability

The Publisher implements reasonable means to ensure continuous availability of the Service. No contractual availability commitment (SLA) is guaranteed on the Free, Starter and Pro Plans. Specific commitments on availability, response time and support may be contractually negotiated for Business and Enterprise Plans. The Publisher may temporarily interrupt the Service for maintenance, upgrades or security reasons, with reasonable prior notice where possible.

15. Liability

Closing Buddy is a sales decision-support tool. AI-generated suggestions cannot replace the User's professional judgement. The Publisher does not guarantee any commercial outcome (closing rate, revenue, signatures) and shall not be held liable for decisions taken by the User based on the Service's suggestions.

Save for mandatory legal provisions to the contrary, the Publisher's total liability, all damages and causes combined, is capped at the amount actually paid by the Customer for the Service over the 12 months preceding the triggering event. Indirect damages are expressly excluded, in particular: loss of revenue, loss of margin, loss of clientele, damage to image, data loss not attributable to the Publisher.

16. Force majeure

No party shall be held liable for a breach of its obligations in case of force majeure within the meaning of article 1218 of the French Civil Code, including in particular: natural disasters, widespread cloud provider outages, massive cyber-attacks, decisions of public authorities making the Service impossible. The prevented party informs the other as soon as possible.

17. Subcontracting

The Publisher may use processors to provide the Service (hosting, transcription, payment, transactional emails). The up-to-date list of the main processors is set out in the Privacy policy. The Publisher remains liable to the User for the services entrusted to its processors. Any substantial change of processor handling personal data is notified in accordance with GDPR article 28 for Customers who have signed a DPA.

18. Changes to the Terms

The Publisher may modify the Terms at any time. Substantial changes are notified by email to active Users and/or via a banner inside the application at least 30 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the new Terms. Failing acceptance, the User may terminate free of charge before the effective date.

19. End of contract and data retrieval

On expiry or termination of the contract, the User has 30 days to export their data from their Account (Briefs, Reports, history). After this period, their personal data is deleted, subject to legal retention obligations (in particular accounting and tax: see the Privacy policy).

20. Governing law and jurisdiction

These Terms are governed by French law. Failing amicable resolution, any dispute relating to their formation, performance or interpretation shall be submitted to the exclusive jurisdiction of the courts of the Publisher's registered office, subject to mandatory provisions applicable to consumers. Consumer Users may also use the free consumer mediation service.
